Setting up a subsidiary in Spain involves registration of the company or branch in the Spanish Commercial Register. A subsidiary company (but not a branch) is considered a separate legal entity and will usually take the form of either a limited liability company (LLC) or a public limited company (PLC).
Setting up a subsidiary in Spain requires the constitution of the company before a Spanish Notary. We manage for you the registration with the tax authorities, obtaining the company’s tax identification number (NIF), company name and foreign investment clearance, presentation of tax declarations and registration in the Commercial Register including the presentation, translation and legalisation of the necessary legal documentation. With over 20 years experience advising English-speaking clients on the Spanish legal system, we are perfectly placed to assist those looking to set up a subsidiary in mainland Spain or the Canary or Balearic Islands.
At Scudamore Law, we can take care of the entire setup process for you, including:
- Signing of the deeds of constitution before a notary
- Obtaining the company’s digital certificate
- Registration with the Social Security
- Tax declarations, accounting and payroll
- Legal and tax advice,
- Contracts and employment advice
- Business activity licences, local employment, administrative and other processes and procedures
We are on hand to make sure your subsidiary is up and running in a timely manner, allowing you to focus on the day-to-day operations of your business.
